Between: you and Nur Studios LLC, the operator of Mizan AI ("Mizan", "we", "us").
These Terms govern your use of the mizanai.app website, your purchase of a Mizan subscription, and your Mizan account. Use of the Mizan desktop software itself is governed by the separate End User License Agreement (EULA), which these Terms incorporate. By creating a beta sign-up, buying a subscription or using the website, you agree to these Terms. If you are acting for a business, you confirm you have authority to bind it.
1. What Mizan is
Mizan is desktop software for Apple-silicon Macs that organises folders of edited photographs into chapters and exports delivery folders, using a vision model that runs on your computer. It is a tool that assists your review. You remain responsible for checking every delivery before you send it to a client.
2. Eligibility and accounts
You must be at least 18 and able to form a binding contract. Your "account" is the email address you used at purchase; your license key is tied to it. Keep your key confidential; you are responsible for use of the software under your key. Tell us promptly at support@mizanai.app if you believe it has been compromised.
3. Plans and pricing
Current plans, prices and what each includes are shown at mizanai.app/pricing, inside the app and at checkout before payment. The website currently offers a free beta signup list; joining the list does not purchase a plan or start a subscription. Prices are in U.S. dollars and exclude taxes, which are added at checkout where applicable. We may change prices for future renewal periods with at least 30 days' notice by email; the change takes effect at your next renewal after the notice, and you may cancel before then.
Founding member plan. If you subscribe to the Founding member plan, the annual price shown at the time of purchase remains your renewal price for as long as your subscription stays continuously active. If it lapses or is cancelled, re-subscribing is at the then-current price.
4. Subscriptions, automatic renewal and cancellation
Automatic renewal. Mizan plans are subscriptions. Unless you cancel, your subscription renews automatically at the end of each billing period (yearly for annual plans, monthly for monthly plans) and the payment method on file is charged the then-current price for your plan plus applicable taxes.
How to cancel. You can cancel at any time, online, without contacting us, from the Manage subscription link in the app (Settings → License → Manage subscription) or in the email receipt, which opens your Stripe customer portal. Cancellation takes effect at the end of the current billing period; you keep access until then. You can also email support@mizanai.app and we will cancel for you.
Renewal reminders. For annual plans we email you at least [30] days before each renewal with the amount, the date and how to cancel.
Acknowledgement. After purchase we email you confirmation of the plan, price, renewal terms and how to cancel. Keep it.
Failed payments. If a renewal payment fails we will retry and email you. If it is not resolved within [14] days the subscription is cancelled and the license stops working.
5. Free trial
New users may use the software free for 14 days without providing payment details. The trial does not convert into a paid plan automatically; when it ends, the software stops sorting until you buy a plan or enter a key. The trial is for one person and one evaluation; circumventing it is a breach of these Terms.
6. Refunds
See the Refund Policy, which is part of these Terms.
7. Your content
Your photographs, galleries, chapter labels, corrections and exports are yours. Because Mizan processes them on your Mac, we never receive them and claim no rights in them. You are responsible for having the rights to process the photographs you use with Mizan, including any permissions required from the people in them.
8. Acceptable use
You may not: share one license across more Macs than your plan allows; resell, rent or sublicense the software or keys; reverse engineer, decompile or circumvent the license mechanism (except to the extent the law forbids this restriction); use the software to violate any law or the rights of others; or interfere with our services. We may suspend or terminate a license used in breach of these Terms, without refund, after giving you notice where practicable.
9. Beta features and feedback
Features marked beta or experimental may change or be withdrawn. If you send us feedback or suggestions, you grant us a perpetual, royalty-free right to use them without obligation to you.
10. Intellectual property
The software, the website, the Mizan name and logo and all related materials are owned by us or our licensors and protected by copyright and trademark law. These Terms give you no rights in them except the limited license described in the EULA. Open-source components included in the software are listed in the Notices available from the app's About screen and are governed by their own licenses.
11. Disclaimer of warranties
THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ANY WARRANTY THAT SORTING RESULTS WILL BE ACCURATE, COMPLETE OR SUITABLE FOR DELIVERY WITHOUT YOUR REVIEW. Some jurisdictions do not allow these exclusions; in that case they apply to the extent permitted.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST CLIENTS, LOST DATA OR THE COST OF RE-DOING WORK, ARISING FROM OR RELATED TO THE SOFTWARE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD IS LIMITED TO THE AMOUNT YOU PAID US IN THAT PERIOD. Nothing in these Terms limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.
13. Indemnity
If you use Mizan for your business, you will defend and indemnify us against third-party claims arising from your photographs, your deliveries to clients, or your breach of these Terms.
14. Termination
You may stop using Mizan at any time; cancellation is described in Section 4. We may terminate these Terms for material breach that is not cured within 14 days of notice, or immediately for license abuse or unlawful use. Sections 7 and 10 to 18 survive termination.
15. Changes to these Terms
We may update these Terms. For material changes we will email customers with an active subscription at least 30 days before they take effect. Continued use after that date is acceptance; if you do not agree you may cancel and, if the change materially reduces what you paid for, request a pro-rata refund of the unused period.
16. Governing law and disputes
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules. Before filing a claim, each side agrees to try to resolve the dispute informally by email for 30 days. Claims that cannot be resolved will be brought in the state or federal courts located in [County], Georgia, and each side consents to their jurisdiction, except that either side may seek injunctive relief anywhere to protect intellectual property, and you may bring claims in small-claims court where you live. Consumers in the EU, UK or other jurisdictions with mandatory consumer-protection law keep the protections of their local law.

17. Export and sanctions
You may not use the software if you are located in, or are a national of, a country subject to comprehensive U.S. sanctions, or if you are on a U.S. government restricted-party list.
18. General
These Terms, the EULA, the Refund Policy and the Privacy Policy are the entire agreement between us about Mizan. If a provision is unenforceable the rest remains in effect. We may assign these Terms as part of a sale of the business; you may not assign them.
