This End User License Agreement ("Agreement") is a contract between you and Mizan for the Mizan desktop software, including updates, the bundled vision model and documentation (together, the "Software"). By installing, activating or using the Software you accept this Agreement. If you do not accept it, do not install the Software, and if you have purchased a subscription, request a refund under the Refund Policy.
1. License grant
Subject to this Agreement and your payment of the applicable fees, Mizan grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on up to the number of Macs permitted by your plan (two for the current Solo and Founding plans), for your own professional or personal photography work, during the term of your subscription or trial.
A seat is an activated Mac. You may deactivate a Mac from within the Software to free a seat, subject to the limits of your plan. Plan details are shown at mizanai.app/pricing and at purchase.
2. Trial
The standard trial lasts 14 days from first launch on a Mac and permits the Software for evaluation without payment details. Designated beta builds may provide a 30-day evaluation, as shown in the app. A trial does not automatically become a paid subscription. When it ends, sorting is disabled until a valid license key is entered.
3. What you may not do
You may not, and may not permit anyone else to:
- copy the Software except for one backup;
- share your license key or use the Software on more Macs than your plan allows;
- rent, lease, lend, sell, sublicense, distribute or host the Software for third parties;
- reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the Software or its licensing mechanism, except to the extent applicable law expressly permits this despite the restriction;
- remove, bypass or defeat the trial, license verification or activation features, or alter your system clock to extend a trial or grace period;
- remove or alter proprietary notices;
- use the Software to develop a competing product, or publish benchmarks of the Software's sorting accuracy without identifying the version and methodology; or
- use the Software in violation of law or of the rights of the people in the photographs you process.
4. Activation, validation and offline use
The Software activates by contacting Mizan's license server with your key, a one-way hash derived from your Mac's hardware identifier and the Mac's hardware model, and re-checks periodically while online. The Software is designed to work offline: an online-validated license can continue working for up to 30 days without reaching the server, subject to the key’s expiry and validity. A key initially activated while offline can work for up to 14 days before its first online check is required. The Software does not transmit your photographs or any information about them. Details are in the Privacy Policy at mizanai.app/privacy. License and account emails include a subscription-management link to Stripe’s customer portal. Use that portal to manage billing and cancel future renewals, or contact support@mizanai.app for help. Cancellation and refunds are separate requests; see the Terms of Service and Refund Policy.
If we determine that a key has been shared, resold, obtained fraudulently or charged back, we may deactivate it. We will tell you at the email on your account and give you a chance to respond, except in cases of clear abuse.
5. Your photographs and output
You retain all rights in the photographs you process and in the exports the Software produces. The Software reads your photographs, writes previews to a cache folder on your Mac and writes copies into the export folder you choose; it never modifies or moves your original files. You are solely responsible for reviewing every chapter assignment before delivery. The Software's confidence scores are model rankings, not measured accuracy, and the Software may place photographs incorrectly.
6. Updates
We may provide updates that fix bugs, improve sorting or add features. Updates may change or remove features. Updates are provided under this Agreement unless they come with their own terms. The Software does not update itself automatically; you choose when to install a new version.
7. Third-party and open-source components
The Software includes open-source components and a publicly available vision model, listed with their licenses in the Notices file reachable from the About screen. Those components are licensed under their own terms, which apply instead of this Agreement to the extent they conflict. Nothing in this Agreement limits rights you have under those licenses.
8. Ownership
The Software is licensed, not sold. Mizan and its licensors own all right, title and interest in the Software, including all intellectual property rights. All rights not expressly granted are reserved.
9. Term and termination
This Agreement lasts as long as you have a valid trial or subscription. It terminates automatically if you breach it; on termination you must stop using the Software and delete your copies. Sections 5 and 8 to 14 survive.
10. Disclaimer of warranties
THE SOFTWARE IS PROVIDED "AS IS". TO THE FULLEST EXTENT PERMITTED BY LAW, MIZAN DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED OR WILL SORT PHOTOGRAPHS ACCURATELY. YOU ASSUME RESPONSIBILITY FOR SELECTING THE SOFTWARE AND FOR THE RESULTS YOU DELIVER TO YOUR CLIENTS.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MIZAN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST CLIENTS, LOST OR CORRUPTED DATA, OR THE COST OF RE-DOING WORK, ARISING OUT OF OR RELATED TO THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY. MIZAN'S TOTAL LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE FEES YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM. These limits do not apply where the law does not allow them.
12. Data and privacy
The Privacy Policy at mizanai.app/privacy describes the limited information the Software sends to Mizan and is part of this Agreement.
13. Export control
The Software is subject to U.S. export laws. You represent that you are not located in a country subject to comprehensive U.S. sanctions and are not on a U.S. restricted-party list.
14. Governing law; general
This Agreement is governed by the laws of the State of Georgia, subject to any non-waivable consumer protections that apply to you. Disputes are handled as described in the Terms of Service. If any provision is unenforceable the remainder stays in effect. This Agreement, with the Terms of Service, Refund Policy and Privacy Policy, is the entire agreement about the Software and supersedes prior understandings. We may update this Agreement for new versions of the Software; the version that applies is the one accompanying the version you install.
